Colleen joined PLG in June 2019 after working for over four years as an associate with a real estate and securities group of a mid-sized law firm in Richmond, Virginia and, prior to that, as an associate with a corporate and securities group of a boutique law firm in Richmond, Virginia. Colleen’s practice focuses primarily on commercial real estate transactions, including negotiating and drafting purchase and sale agreements, leases, loan documents and other documents related to commercial real estate acquisitions, dispositions and development. She also regularly advises clients on general business, corporate and securities matters, including entity formation and dissolution, mergers and acquisitions and ongoing corporate governance.
Colleen has experience in drafting private placement memoranda and subscription documentation for private securities offerings under Rules 506(b) and (c) of Regulation D of the Securities Act of 1933, with a particular emphasis on real estate related securities, including Delaware statutory trusts, real estate funds and offerings of undivided tenant in common (TIC) interests in real estate. In addition, Colleen brought experience in SEC and state-level securities compliance reporting, including compliance with blue sky filing laws and state regulatory commissions, and 1031 deferred exchange transactions.
While in law school, Colleen was a law clerk for the Honorable Joseph J. Ellis of the Fifteenth Judicial Circuit of Virginia and an intern with Assurant, Inc.’s corporate law group in New York City.
When she is not in the office, Colleen enjoys going on adventures with her two rambunctious Labrador Retrievers, Princess Charlotte and Lady Blanche, exploring the Richmond restaurant and brewery scene with her friends, spending time with her family and avidly cheering on the Virginia Cavaliers.
